Terms of Sale

1. Parties. Between you and GhostLogic LLC, 2222 W Grand River, Okemos, MI ("GhostLogic," "we"). GhostLogic LLC is a subsidiary of GhostLogic Tech Company.

2. The offer. 313 numbered GhostLogic Evidence Collector units, 313 Founders Edition. Pay-now prices are 64 GB for $199 or 0.5 TB for $349 without a Flight Recorder Dock, and $299 or $449 respectively with a Dock. Prices are the total you pay — shipping and any applicable customer-facing sales tax are included. There are no additional charges at checkout.

2A. Payment plans and Guardian. Instead of paying now, you may select two monthly payments — $111.50 for 64 GB, $161.50 for 64 GB with a Dock, $186.50 for 0.5 TB, or $236.50 for 0.5 TB with a Dock — or four monthly payments — $61.75 for 64 GB, $86.75 for 64 GB with a Dock, $99.25 for 0.5 TB, or $124.25 for 0.5 TB with a Dock. Every payment plan includes Guardian, which begins after the final hardware payment at $12 per month and continues until canceled; a $99-per-year Guardian option is also available. Guardian is optional with a pay-now purchase. Checkout collects the first hardware payment; later hardware payments use emailed invoices due within 30 days and do not automatically charge the saved card. There is no interest and there are no late fees. An unpaid hardware invoice remains due unless you cancel; we contact you, and we do not repossess delivered hardware. Units ordinarily ship only after the hardware payments are paid, subject to the Refund Policy. Guardian may be canceled without surrendering the Evidence Collector or Founder number.

3. Availability and one-unit limit. Positions are limited, but a purchase application is not required. One numbered position per person is enforced across orders. Twenty scholarship positions are granted at no cost and consume the same 313 positions. Optional Founder input requested after payment does not affect the purchase, number, warranty, support or shipment.

4. Your Founding number. Assigned only after a verified successful payment, or after an authorized scholarship grant. Permanent and unique. Retired permanently and never reissued if your order is refunded.

5. What comes with your position. Your numbered Evidence Collector, a badge, a device-linked provenance certificate, a founder welcome call, priority onboarding and support, a 90-day testing environment, early access, and access to a private founders community channel. Community access begins when units ship. We may change the platform used for the community channel.

6. Scholarships. No obligations — no required feedback, testimonial or participation. GhostLogic may revoke a scholarship position for fraud or misrepresentation, in which case the number is retired.

7. Delivery. When all 313 positions sell or January 1, 2027, whichever comes first. See Preorder Terms if we miss that date.

8. Warranty

GhostLogic warrants the hardware against defects in materials and workmanship for ten years from delivery. We will repair or replace a defective unit at our option.

The warranty follows the hardware to a new owner when the transfer is recorded with GhostLogic under §11. An unrecorded transfer voids remaining warranty coverage.

Not covered: physical damage, liquid damage, misuse, unauthorized modification or repair, normal cosmetic wear, and wear of the storage media. Flash storage has a finite number of write cycles; storage degradation from normal use is wear, not a defect. Coverage ends if GhostLogic LLC discontinues support for the 313 Founders Edition, with at least 90 days' notice.

9. Platform. Windows, macOS and Linux are all supported at launch.

10. Support. support@ghostlogic.tech, 48-hour response.

11. Transfers. You may transfer your Founding position to another person. A transfer is valid only when recorded by GhostLogic — an unrecorded transfer does not move the number, the position remains registered to you, and remaining warranty coverage is void. To record a transfer, both parties notify support@ghostlogic.tech and declare the sale price. GhostLogic receives 15% of the sale price on every transfer for value. Gifts and transfers without consideration are recorded free of charge. GhostLogic may decline to record a transfer where the declared price appears inaccurate. The receiving party must accept these Terms as a condition of recording, including this section, which applies to all subsequent transfers.

12. What we don't promise. Except for the warranty in §8, the product is provided as is. We are not liable for indirect or consequential damages. Our total liability is limited to what you paid. Some states do not allow these limits, so they may not apply to you.

13. Governing law and dispute resolution

Michigan law governs, without regard to conflict-of-law rules.

Informal resolution first. Before starting arbitration, email support@ghostlogic.tech describing the dispute and give us 30 days to resolve it.

Binding arbitration. Any dispute arising out of or relating to these Terms or your purchase will be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court. Arbitration takes place in Ingham County, Michigan, or by video or telephone at your election. The arbitrator's decision is final and enforceable in any court of competent jurisdiction.

Small claims exception. Either party may instead bring an individual qualifying claim in small claims court.

No class actions. Disputes will be brought only in your individual capacity. You and GhostLogic each waive any right to bring or participate in a class, collective, consolidated or representative action. The arbitrator may not consolidate claims or preside over any representative proceeding. If this paragraph is found unenforceable, the entire arbitration section is void and disputes proceed in the courts of Ingham County, Michigan.

Opt out. Email support@ghostlogic.tech within 30 days of purchase, stating your order number and that you decline arbitration. Opting out does not affect any other part of these Terms.

14. Changes. We may update these terms. Changes do not apply retroactively to orders already placed.
